Terms of Service

Welcome to PodRadar by Lead-Lag Media®! These Terms of Service ("Terms") constitute a valid and binding agreement between Lead Lag Publishing, LLC, DBA Lead-Lag Media® ("Company," "we," or "us") and you ("you," or "your") and govern your access to and use of PodRadar, including the website at podradar.leadlagmedia.com, the application, dashboards, APIs, AI-generated intelligence outputs, and any related services (collectively, the "Services").

By accessing or using the Services, you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services. These Terms supplement, and are incorporated into, the Lead-Lag Media® general Terms of Service; in the event of a conflict on a PodRadar-specific matter, these Terms control. Capitalized terms not defined here have the meaning given in the general Terms.

You represent that you are at least 18 years old and lawfully able to enter into contracts. PodRadar is intended for use by financial services professionals and authorized representatives of organizations that have an account with us.

We may update these Terms at any time by posting an updated version. Your continued use of the Services after changes are posted constitutes acceptance of those changes.

1. Description of the Service

PodRadar is an AI-driven podcast and media research platform that helps Lead-Lag Media® clients identify relevant podcasts, YouTube channels, journalists, and other media outlets; surface host and show intelligence; save searches; and export contact information. PodRadar uses large language models, machine learning, third-party data providers, and automated systems to generate intelligence outputs.

PodRadar is provided as a self-service research surface. You access the PodRadar dashboard through a scoped account to view podcast and journalist intelligence, save searches, and export contact information. PodRadar may generate draft outreach communications for your review (see Section 6), but PodRadar does not send outreach communications on your behalf — all outreach is sent by you, from your own systems, outside PodRadar.

PodRadar may evolve, add features, deprecate features, or change behavior at any time. The Services are provided on an "as-is" and "as-available" basis and may contain bugs, rough edges, beta features, or experimental components.

2. Eligibility and Accounts

• Accounts are issued to specific individuals at organizations we have contracted with, or that we have explicitly invited. You may not share your account credentials, sell access, or allow third parties to use your account.
• Self-service accounts are scoped to the client organization on file. You may only access data, saved searches, and research activity belonging to that client unless we explicitly grant additional permissions.
• You are responsible for safeguarding your password, for all activity on your account, and for promptly notifying us of any unauthorized use at michaelgayed@leadlagmedia.com.
• We may suspend or terminate accounts that violate these Terms, that engage in suspicious activity, or whose underlying engagement with Lead-Lag Media has ended.

3. Acceptable Use

You agree not to, and not to attempt to:

• Use PodRadar to send spam, deceptive outreach, harassing communications, or communications that violate the CAN-SPAM Act, GDPR, CASL, TCPA, state UDAP statutes, or any other applicable law;
• Misrepresent the identity of the sender, the sponsoring firm, or the basis on which outreach is being made;
• Use PodRadar to pitch securities, solicit investment, give investment advice, or otherwise circumvent regulatory requirements that apply to you or your firm, including FINRA, SEC, NFA, and applicable state regulators;
• Scrape, mirror, reverse engineer, decompile, or attempt to derive the source code, models, prompt structures, or data pipelines underlying the Services;
• Use the Services to build, train, or fine-tune any competing model or product, or to compile a competing data set;
• Bypass rate limits, throttling, approval gates, or any security control;
• Upload, generate, or transmit any content that is unlawful, defamatory, infringing, malicious, or that violates the rights of any person;
• Use the Services to make any decision that produces legal effects on a person without meaningful human review by a qualified human reviewer.

4. AI-Generated Content

• No advice. AI-generated content from PodRadar is for general business, research, and informational purposes only and does not constitute investment, legal, tax, accounting, regulatory, compliance, or other professional advice.
• Compliance review. You are solely responsible for ensuring that any communication you send using information obtained from PodRadar complies with your firm's compliance policies and applicable law, including review by your compliance team where required.
• Hallucinations and inaccuracies. Names, titles, contact details, episode references, host details, and other facts surfaced by PodRadar may be inaccurate or fabricated by the underlying models. Verify before sending.
• No guarantee of bookings or outcomes. We do not guarantee any podcast booking, journalist response, deliverability rate, engagement rate, or business outcome. Performance varies and is affected by many factors outside our control.
• Sub-processors. AI-generated outputs may be produced using third-party AI providers (including, without limitation, OpenAI, Anthropic, Perplexity, Google, and similar providers). Prompts you submit and content we send to these providers may be processed under their terms.

5. Your Data and License Grant

"Your Data" means the information you, your firm, or your representatives upload, submit, or generate through PodRadar — including intake answers, client lineups, sponsored content, ticker lists, target lists, custom prompts, and saved searches.

You retain all rights in Your Data. You grant Company a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Your Data solely to operate, provide, secure, debug, improve, and support the Services for you, and to comply with applicable law.

You represent and warrant that you have all rights necessary to upload Your Data, that Your Data does not infringe any third-party rights, and that Your Data complies with applicable law including data protection law.

6. Pitch Assistant and Outbound Communications

PodRadar includes an AI Pitch Assistant that suggests pitch angles and generates draft emails you can send to podcast hosts. Drafts are written in your own first-person voice and are prepared solely for your review. All outreach is initiated and sent by you from your own email client. PodRadar does not send communications, does not connect to your mailbox, and does not track deliveries. You are solely responsible for the content, targeting, and compliance of any messages you send. If you edit or send an AI-generated draft, that message is your own communication, sent by you and attributable to you and your firm.

PodRadar does not send communications on your behalf. When you use contact information or intelligence obtained from PodRadar to send communications from your own systems — including pitches, follow-ups, scheduling messages, and outreach to podcast hosts, journalists, producers, financial advisors, or other recipients — you agree that:

• You have a lawful basis to contact each recipient;
• Each communication accurately identifies the sender and the firm on whose behalf the message is being sent;
• Each communication offers a meaningful and functional way to opt out, where required by applicable law;
• You will honor opt-outs, suppression lists, do-not-contact requests, and bounce notifications promptly;
• You will not use the Services in a way that damages Lead-Lag Media's sender reputation or shared infrastructure.

We may suspend any account, throttle any request volume, or withhold any contact record if we determine in our reasonable discretion that continuing would create regulatory risk, reputational risk, or harm to our shared infrastructure.

7. Proprietary Rights

The Services, including all software, models, prompt scaffolding, scoring methodologies, content libraries, training data we have curated, podcast taxonomies, intelligence pipelines, dashboards, designs, and the "PodRadar" and "Lead-Lag Media" names, logos, and marks, are owned by Company or its licensors and are protected by intellectual property law. Except for the limited right to use the Services in accordance with these Terms, no rights or licenses are granted to you.

8. Fees

Some PodRadar tiers are free for active Lead-Lag Media clients; others (including certain self-service plans) are billed under a separate order form, statement of work, or invoice. Fees, billing cadence, refunds, and chargebacks are governed by the applicable order document and by the Lead-Lag Media® general Terms.

9. Third-Party Services and Sub-Processors

PodRadar relies on third-party providers, including AI inference providers, email infrastructure providers, hosting providers, podcast data providers, and contact-enrichment providers. Your use of PodRadar may cause data to flow to those providers. We are not responsible for the practices of third parties, and your use of any third-party site or service linked from PodRadar is subject to that third party's terms. 10. Representations, Disclaimers, and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND THE ABSENCE OF VIRUSES OR HARMFUL CODE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE PARTICULAR RESULTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR ANY DAMAGES ARISING FROM AI-GENERATED OUTPUTS, REGARDLESS OF THE THEORY OF LIABILITY. COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID FOR PODRADAR IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You will defend, indemnify, and hold harmless Company and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) your use of the Services, (b) Your Data, (c) communications you send using information obtained from the Services, (d) your violation of these Terms, (e) your violation of any law, or (f) your violation of any third-party right.

12. Term and Termination

These Terms remain in effect while you have an account or otherwise access the Services. We may suspend or terminate your access at any time for any reason, including if your underlying engagement with Lead-Lag Media has ended or if we determine continued access creates legal or reputational risk. Provisions that by their nature survive termination (including ownership, disclaimers, indemnity, and limitation of liability) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Services shall be resolved exclusively by binding arbitration in New York County, New York, on an individual (not class) basis, in accordance with the Lead-Lag Media® general Terms of Service governing arbitration and class-action waiver, which are incorporated by reference. To the extent any dispute is not subject to arbitration, the state and federal courts located in New York County, New York shall have exclusive jurisdiction.

14. Confidentiality

Information accessed through PodRadar, including host and show intelligence, scoring methodologies, target lists, intake answers, and saved searches, is confidential. You agree not to disclose it to any third party except to your authorized representatives who have a need to know and who are bound by confidentiality obligations no less protective than these Terms.

15. General

• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• No waiver. A failure to enforce any provision is not a waiver.
• Entire agreement. These Terms, together with the Lead-Lag Media® general Terms of Service, the PodRadar Privacy Policy, and any applicable order form, constitute the entire agreement between you and Company with respect to the Services.
